Terms of Use

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE WEBSITE AND/OR PARTICIPATING IN THE MENTORING PROGRAMME

These terms of use (“Terms“) are a legal agreement between you (“you“) and Project Managers Against Poverty of Broad Street Chambers, 18 Broad Street, Bromyard, Herefordshire, United Kingdom HR7 4BT (“PMAP“, “us“, or “we“) in respect of your use of the PMAP website (“Website“) and participation in the mentoring programme facilitated by PMAP (“Mentoring Programme“).

By accessing or using the Website and/or registering for the Mentoring Programme you agree to be bound by these Terms (whether or not you become a mentor or mentee). If you do not agree to these Terms, we do not grant you permission to use the Website or participate in the Mentoring Programme. If you wish to register for the Mentoring Programme, you will be required to indicate your acceptance to these Terms prior to completing the registration process.

You must be over 18 in order to use the Website and participate in the Mentoring Programme.

These Terms are only available in the English language. You should also print a copy of these Terms for your future reference.

Permitted use & restrictions

Subject to you agreeing to abide by these Terms, we grant you (i) permission to participate in the Mentoring Programme and (ii) the right and access to use the Website subject to these Terms. We reserve all other rights, which are not granted in these Terms. You may participate in the Mentoring Programme and view, use and display the Website for personal non-commercial purposes only. We may revoke the permission and/or rights granted in these Terms at any time without notice and with or without cause.

We shall decide, in our sole discretion, whether or not you qualify to become a mentor or mentee and are eligible to participate in the Mentoring Programme. In order to qualify as a mentee, PMAP may require that you successfully complete a standard project management examination, details of which will be set out on the Website.

You must not use the Website (a) in any unlawful manner, for any unlawful purpose, or to act fraudulently or maliciously, for example, by hacking into or inserting malicious code, including viruses, or harmful data, into the Website or any operating system used by the Website, (b) in a way that could damage, disable, overburden, impair or compromise our systems or security or interfere with other users, (c) to collect or harvest any information or data from the Website or our systems or attempt to decipher any transmissions to or from the servers running the Website, (d) to send, knowingly receive, upload, download, use or re-use any material which does not comply with these Terms, or (e) to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).

Registration data

When you register for the Mentoring Programme on the Website, we will ask you to create a user profile which contains certain information as further described in our Privacy Policy in order to match you with a suitable mentor or mentee. You agree to (a) provide accurate, current and complete information in your profile, (b) promptly update your profile, and any other information you provide to us, as appropriate, and (c) maintain the confidentiality of your profile as well as your user name, password and any other authentication information in connection with your account. You are entirely responsible for all activities that occur through use of your user name, even if another person was using your account at the relevant time.

You hereby authorise us to verify your profile to the extent permitted by applicable law if we deem this is necessary to confirm your identity and your suitability and eligibility to be a mentor or mentee. However, we shall be under no obligation to verify your profile and may rely on the information contained in it without taking any further action.

You consent to receiving communications and notices from us at the email address you provide in your profile or otherwise elect in your account settings.

We have the right to disable any user name, password, or other authentication information in connection with your account whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.

If you know or suspect that anyone other than you knows your user name or password, you must promptly notify us at support@pmap.email.

Your promises to us

You promise to us that (a) you are authorised to agree to these Terms, (b) your use of the Website and/or your participation in the Mentoring Programme shall be entirely at your own risk, and (c) you will read and comply with the Code of Conduct. Additionally, you represent and warrant that (a) you are not located in a country that is subject to U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country, and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

Intellectual property

All content on the Website and available from PMAP through the Mentoring Programme is the property of PMAP. The content on the Website shall not be modified, distributed, framed, republished, scraped or sold in any form or by any means, in whole or in part, without our prior written permission. You acknowledge that all intellectual property rights in the Website anywhere in the world belong to us, that rights in the Website are licensed (not sold) to you, and that you have no rights in, or to, the Website other than the right to use it in accordance with these Terms.

You must not use any part of the content on the Website for commercial purposes without obtaining a licence to do so from us or our licensors.

You may not carry out any data mining or similar data gathering or extraction methods on the Website.

By agreeing to these Terms, you are also consenting to the processing of your personal information as explained in the Privacy Policy.

The Website may contain links to third party websites and services (“Third Party Sites and Services“). The links to these Third Party Sites and Services are provided for your convenience only. You acknowledge that we have no control over the Third Party Sites and Services (including the failure of any links to them) and are not responsible for their contents and/or availability.

We do not endorse the content or other material contained in the Third Party Sites and Services and have no association with their operators. Your use of any Third Party Sites and Services will be governed by their terms and conditions and privacy policies (if any) (“Third Party Terms“). It is your responsibility to read the Third Party Terms. If you do not understand or agree to be bound by any Third Party Terms, you should not use any Third Party Sites and Services.

Disclaimer

Disclaimer & limitation of liability

You acknowledge that you may operate in locations or situations where there may be an inherent risk of physical danger. The information and advice that you receive from a mentor through participation in the Mentoring Programme may conflict in places, and may not be up-to-date or reliable, particularly in emergency situations. You must (a) always consider the potential risks involved in any given situation, (b) make use of a wide range of information/advice, security and risk-management resources available to you (i.e. not just the information or advice received from a mentor), and (c) always exercise your own informed and reasonable judgment regarding the best course of action to follow. You acknowledge and agree that any actions taken by you, whether in reliance on the advice provided by a mentor or otherwise, are by your decision alone and are undertaken entirely at your own risk. We are not responsible or liable for any reliance you place on the information/advice received from a mentor and any resulting action that you may choose to take.

Accordingly, to the maximum extent permitted by law and subject to the sections below, we are not responsible or liable for any physical injuries (including death) or damages you may sustain in connection with any action you take as a result of your use of, inability to use or your reliance upon the information and advice received from a mentor or through the Website, any of its features or any third-party applications or sites to which the Website provides access.

We provide the Website on an “as is” and “as available” basis. We make no guarantee that the Website will be uninterrupted, error free, or free from viruses or other harmful components. While we take reasonable precautions to prevent the existence of computer viruses and/or other malicious programs, we accept no liability for them. We also make no promises or guarantees, whether express or implied, that the content within or made available via the Website is accurate, complete or up-to-date. To the extent permitted by law, we exclude all conditions, warranties, representations or other terms, which may apply to the Website and/or Mentoring Programme, whether express or implied.

We have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity. We also do not accept any liability or responsibility for any loss (howsoever caused) arising out of or in connection with any damage to your device.

PMAP’s maximum liability under or in connection with these Terms whether in contract, tort (including negligence) or otherwise, shall in all circumstances be limited to GBP 10.

Nothing in these Terms will limit or exclude PMAP’s liability for (a) death or personal injury resulting from our negligence, (b) fraud or fraudulent misrepresentation, and/or (c) any other liability that cannot be excluded or limited by applicable law. Furthermore, nothing in these Terms restricts your legal rights as a consumer.

Disputes

You are solely responsible for your interactions with your mentor or mentee, as applicable, and any disputes that may result from such interactions. We reserve the right, but have no obligation, to monitor disputes between you and your mentor or mentee, as applicable.

Indemnity

You agree to compensate and hold PMAP, its affiliates and each of its directors, officers, agents, contractors, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable legal fees, made by any third party due to or arising out of your use of the Website, any information you post on the Website, your participation in the Mentoring Programme and/or arising from a breach of these Terms.

Termination

We may terminate these Terms and your permission to use the Website and/or participate in the Mentoring Programme immediately if (a) you commit any breach of these Terms, (b) we discontinue the Website and/or Mentoring Programme, (c) we are prevented from providing the Website or Mentoring Programme for any reason, or for any other reason as we see fit.

Furthermore, we reserve the right to change, edit, suspend, delete and/or cancel any part of the Website (and/or your access to it) and/or the Mentoring Programme at any time with or without notice to you.

You may terminate your participation in the Mentoring Programme for any reason provided that you give us notice in writing or by email to support@pmap.email.

On termination of these Terms for any reason (a) all rights granted to you under these Terms will immediately cease, (b) you must immediately cease all activities authorised by these Terms (including your use of the Website and participation in the Mentoring Programme), and (c) you acknowledge that we may restrict your access to the Website and/or Mentoring Programme.

When your use of the Website and/or participation in the Mentoring Programme ceases, any provision of these Terms that expressly or by implication is intended to come into or continue in force on or after termination shall remain in full force and effect.

Communication between us

If you wish to contact us in writing, or if any condition in these Terms requires you to give us notice in writing, you can send this to us by e-mail using the contact details at the bottom of these Terms. If we have to contact you or give you notice in writing, we will do so by e-mail using the contact details you provide to us.

Other important items

We may transfer our rights and obligations under these Terms to another organisation, but this will not affect your rights or obligations under these Terms.

If we fail to insist that you perform any of your obligations under these Terms, or if we do not enforce any of our rights against you, or if we delay in doing so, that will not mean that we have waived any of our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.

Each of the conditions of these Terms operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect. Other than as expressly set out in these Terms, no third party is intended to have any right or ability to enforce any of the provisions of these Terms.

These Terms are governed by English law and the courts of England and Wales will have exclusive jurisdiction.

Changes to terms

We may change these Terms at any time. Your continued access or use of the Website or participation in the Mentoring Programme after such a change signifies your acceptance of the updated or modified Terms. We may email registered users about any material changes to the Terms and we may notify you of a change to these Terms when you next log in to the Website. The new terms may be displayed on-screen and you may be required to agree to them to continue your use of the Website and/or participation in the Mentoring Programme.
